Seeing the same here in 4.3.1 and 4.3.2.
It should be noted that this happens even when no 2D physics components are being used anywhere in the project.

When I save my scene the Editor also wants to save Physics2DSettings.asset. If I don't save it then it asks again next time. If I do save it then it stops asking. Having saved it, my version control system (git in this case) says there are no differences.
It appears as though the Editor is marking the physics settings as dirty when it loads a project, even though no changes have been made.
